This document serves as your primary defense against litigation, covering liability, software nuances, and commercial usage.
1. AGREEMENT TO TERMS By using EngineDiag.com, you constitute a legally binding agreement between you (“Customer”) and EngineDiag.com (“Company”). If you do not agree to these terms, you must immediately cease use of our site and services.
2. PRODUCT DESCRIPTION & PROFESSIONAL USE All hardware (VCIs), laptop kits, and software are sold for use by professionals. Customer warrants that they possess the necessary expertise to operate this equipment. We make no representations regarding the suitability of products for any specific commercial or regulatory requirement.
3. LIMITATION OF LIABILITY (INDEMNIFICATION) To the maximum extent permitted by law, EngineDiag.com shall not be held liable for:
Incidental or Consequential Damages: Including, but not limited to, loss of profits, downtime costs, vehicle engine failure, data loss, or system corruption arising from the use of our products.
Remote Support Liability: By initiating a remote support session, the Customer assumes full responsibility for any changes made to their computer system. The Company is not liable for system instability, software conflicts, or security breaches arising from or related to remote diagnostic sessions.
Third-Party OEM Disclaimers: Products provided are subject to the EULAs of the manufacturers. If an OEM revokes a software license, changes their subscription model, or updates software, the Company bears no liability for service disruption.
4. INTELLECTUAL PROPERTY & SOFTWARE LICENSING Software provided remains the property of the respective OEMs. Customer is granted a limited, non-transferable license to use the software in accordance with the manufacturer’s terms. You shall not reverse-engineer, decompile, or redistribute any diagnostic software or protected hardware firmware.
5. WARRANTY & RETURNS
Manufacturer Warranty: All products carry the warranty provided by the original manufacturer. We act as a facilitator of these warranties, not the guarantor.
Returns: Hardware may be returned within [Insert Number] days of receipt only if unused and in original, sealed packaging. Once software keys are redeemed, activated, or linked to a device/VIN, the product is non-refundable.
6. FORCE MAJEURE We are not liable for any failure to perform our obligations due to events beyond our reasonable control, including, but not limited to, shipping delays, supply chain disruptions, or technical infrastructure failures.
7. DISPUTE RESOLUTION & JURISDICTION These Terms shall be governed by the laws of the State of Nevada. Any claim, dispute, or controversy arising out of these Terms shall be resolved exclusively through binding arbitration in Clark County, Nevada, rather than in court.
8. SEVERABILITY If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
9. Third-Party OEM Software & Licensing
EngineDiag.com operates as a value-added reseller of specialized diagnostic software and hardware. We are not the developer, manufacturer, or owner of the third-party software products sold on our platform (e.g., Cummins, Detroit, PACCAR, Ford, GM, Jaltest, JPRO, NEXIQ, OPUS/Drew Technologies, and others).
Acceptance of OEM EULA: By purchasing and/or activating any diagnostic software, you agree to be bound by the End User License Agreement (EULA) and/or Terms of Service established by the respective Original Equipment Manufacturer (OEM). It is your responsibility to review the specific terms provided by the manufacturer.
No Agency or Partnership: EngineDiag.com provides support for the integration and setup of these tools, but this support does not constitute an endorsement, partnership, or agency relationship with the OEM.
License Activation & Restrictions: You acknowledge that software activation processes are controlled by the OEM. EngineDiag.com cannot guarantee that an OEM will authorize, maintain, or continue a software subscription. If an OEM revokes, changes, or terminates a license, EngineDiag.com bears no liability for service disruption, loss of features, or inability to access diagnostic data.
Software Updates & Compatibility: Diagnostic software is frequently updated by the OEM. EngineDiag.com is not responsible for any incompatibilities, system errors, or loss of functionality caused by manufacturer updates, firmware changes, or shifts in the manufacturer’s technical requirements.
Compliance with Laws: You agree to use all OEM software in strict accordance with the laws of your jurisdiction and the usage policies set forth by the manufacturer. Unauthorized modification, reverse engineering, or redistribution of OEM software is strictly prohibited and may result in the immediate termination of your license and support services from both the OEM and EngineDiag.com.
